Shell FleetPayDigital Mobility
Commercial proposalPrepared for Shell India — Digital Mobility Initiative. This proposal sets out the purpose, objectives, scope, architecture, components, deliverables, milestones, commercials and contracting terms for deploying Shell FleetPay on Shell-managed infrastructure.

Shell's digital mobility ambition requires a payments and loyalty backbone that is owned, auditable and fast to evolve. FleetPay delivers that backbone as a white-label platform already built to Shell's brand and operating model.
Rather than a multi-year custom build, Shell acquires a proven closed-loop platform and pays only for the customisation, integration and implementation required to fit Shell's retail network, finance processes and compliance posture.
The platform is deployed on infrastructure provided and managed by Shell, keeping data residency, security and hosting economics firmly within Shell's control, while our accountability is focused on application uptime, operationalisation, reconciliation and ongoing maintenance.

Consolidate card issuing, closed-loop wallets, merchant acceptance and settlement into one governed platform for Shell India.
Digital fleet onboarding, self-service limits, mobile wallet for drivers and a fast forecourt experience at the terminal.
Maker-checker workflows, granular RBAC, velocity and fraud rules, and an immutable audit trail across every money movement.
Automated ledgers, statements, daily settlement and exception handling to shorten close cycles and eliminate leakage.

A modular, API-first architecture. Shell owns the hosting estate; we own the application layer, its operability and its evolution.
Enterprise web console (React + TypeScript), customer wallet app and POS operator app, all in Shell brand language.
Issuing, wallet ledger, limits & velocity engine, transaction switchboard, settlement, CRM and campaign services.
Transactional store, reporting mart, audit store, scheduled extracts and export centre for finance and audit.

Timelines assume infrastructure and third-party access are made available by Shell within the first two weeks, and that business sign-offs are received within five working days of request.
A single one-time investment to acquire and implement the platform, and a predictable monthly fee covering platform AMC and 24×7 operations support (L1 & L2).

All amounts are exclusive of GST and any applicable statutory levies. Change requests are charged only where effort is estimated, approved in writing by Shell, and delivered.
From Year 2 onwards, the one-time platform fee, customisation and implementation cost is not applicable (₹0). Only the monthly recurring fee applies.
Monthly recurring covers platform AMC and 24×7 operations support (L1 & L2), including application uptime management, reconciliation, minor changes and monthly service reviews.

Shell will provide and fund all hosting infrastructure (cloud or data centre) for development, UAT and production environments, including licences for OS, database and supporting middleware.
Shell will manage the infrastructure end to end — provisioning, capacity, patching, network, perimeter security, backup and disaster recovery. Infrastructure availability is Shell's responsibility.
Our scope is limited to platform uptime from an application perspective, and to operationalisation of the programme including reconciliation and annual maintenance (AMC).
Any new development or enhancement beyond the agreed scope will be charged at ₹11,500 per man-day, against a written estimate approved by Shell before work commences.
Minor and trivial changes — configuration updates, report tweaks, label and content changes, small UI adjustments and routine data corrections — are included in the monthly support fee.
One-time fee payable against milestones; monthly support fee billed in arrears with 30-day payment terms. Prices are exclusive of GST and hold for 90 days from the date of this proposal.
Timely access to Shell infrastructure, third-party systems, test data, business sign-offs and nominated SPOCs. Delays in dependencies will shift milestone dates correspondingly.
Platform IP remains with us and is licensed to Shell for the term; all Shell business and customer data remains the exclusive property of Shell, held within Shell's infrastructure.
On acceptance of this proposal we can convene the kick-off within five working days and begin solution design against the 14-week plan.
